Welcome to Undalogic! The terms "we", "us" and "our" refer to Undalogic Ltd, a company registered in England and Wales. Undalogic operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with our products and services (the "Services"). Our online store is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. These Terms were last updated on 26/08/2025.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty provisions and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

  • "Customer", "you" and "your" refer to the user or purchaser of our Services and Products.
  • "Services" refers to all products, software, and services offered by Undalogic, including this website and online store.
  • "Products" refers to the source-measure units and any accompanying accessories or components sold by Undalogic.
  • "Website" refers to undalogic.com and all associated domains.
  • "Terms" refers to these Terms of Service.

SECTION 2 — ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least 18 years of age, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services, including accessing or browsing our online store or purchasing any of the Products or Services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide is correct, current and complete and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or licence your account to any other person.


SECTION 3 — USE OF SERVICES

Our Products are designed for professional and research applications. By purchasing and using our Products, you agree to:

  • Use the Products in accordance with provided documentation.
  • Not modify or tamper with the Products in any unauthorised way.
  • Maintain any required licences or certifications for your intended use.
  • Follow all safety guidelines and precautions.

You agree not to:

  • Use our Services for any illegal purposes.
  • Attempt to gain unauthorised access to any part of our Services.
  • Copy, modify, or distribute our intellectual property without written permission.

SECTION 4 — OUR PRODUCTS

We have made every effort to provide an accurate representation of our Products in our online store. However, please note that colours or product appearance may differ from how they may appear on your screen due to the type of device you use to access the store and your device settings and configuration.

All descriptions of Products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any Product at any time and may limit the quantities of any Products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.


SECTION 5 — ORDERS

When you place an order, you are making an offer to purchase. Undalogic reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Undalogic confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as Undalogic may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the email address, billing address, and/or phone number provided at the time the order was made.

Your purchases are subject to return or exchange solely in accordance with our Returns & Refund Policy and your statutory rights.


SECTION 6 — PRICES AND BILLING

All prices are subject to change without notice. The price charged for a Product will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless otherwise expressly stated, posted prices do not include applicable taxes, shipping, handling, import duties or insurance charges.

Payment is due in full at the time of order unless credit terms have been previously approved in writing by Undalogic. For approved credit accounts, payment is due within 30 days from the invoice date. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Payments are processed securely through our authorised payment providers.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our store. You agree to promptly update your account and other information so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are duly authorised to use such payment method for the purchase, (iii) charges incurred by you will be honoured by your payment provider, and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes.


SECTION 7 — SHIPPING AND DELIVERY

Undalogic will arrange for shipping of Products via a carrier of the Company's choice unless otherwise specified and agreed upon.

Delivery dates are estimates only. Undalogic shall not be liable for any delays in delivery due to causes beyond its reasonable control.

Risk of loss transfers to the Customer upon delivery of Products to the carrier.

Customer shall inspect all Products immediately upon receipt and notify Undalogic of any apparent defects, damages, or shortages within 5 business days of delivery. This does not affect your statutory rights to reject faulty goods within 30 days under the Consumer Rights Act 2015.


SECTION 8 — RETURNS AND REFUNDS

Products may be returned within 30 days of purchase for a full refund, provided they are in original condition with all packaging and accessories. A restocking fee of up to 15% may apply to voluntary returns made outside the 14-day statutory cancellation period.

To return a Product, you must obtain a Return Material Authorisation (RMA) number from Undalogic prior to shipping by contacting support@undalogic.com. Products returned without an RMA number may be refused. The customer is responsible for the cost of return shipping.

Refunds will be issued using the original payment method within 10 business days after Undalogic receives and inspects the returned Product.

UK Consumer Cancellation Rights: If you are a consumer purchasing online, you have the right to cancel your order within 14 days of receiving your Product, for any reason and without justification, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. During this statutory cancellation period, no restocking fee applies and you are entitled to a full refund. You are responsible for the cost of return shipping. Damages and Defects: Please inspect your order immediately upon receipt and contact us if the item is defective, damaged, or if you receive the wrong item. Under the Consumer Rights Act 2015, you have the right to reject faulty goods within 30 days for a full refund, and further rights to repair or replacement for up to 6 years from purchase.

Nothing in this section affects your statutory rights.


SECTION 9 — LIMITED WARRANTY

Undalogic warrants that the Product will be free from defects in materials and workmanship for a period of one (1) year from the date of purchase (the "Warranty Period").

During the Warranty Period, Undalogic will, at its option, repair or replace any Product that proves to be defective due to improper workmanship and/or materials, under normal use and maintenance, at no charge to the Customer.

Warranty Procedure: To obtain warranty service, you must:

  1. Contact Undalogic's technical support to determine if the issue can be resolved remotely.
  2. If remote resolution is not possible, obtain a Return Material Authorisation (RMA) number from Undalogic.
  3. Ship the defective Product to Undalogic in its original packaging or equivalent, with the RMA number clearly marked.
  4. Provide proof of purchase showing the date of purchase.

During the Warranty Period, Undalogic will cover the cost of shipping the repaired or replacement Product back to the Customer. The Customer is responsible for shipping the defective Product to Undalogic.

Exclusions: This Limited Warranty does not cover:

  • Damage resulting from improper installation, operation, maintenance, or use not in accordance with Product documentation.
  • Products that have been modified, altered, or repaired by anyone other than Undalogic or its authorised representatives.
  • Damage caused by accident, abuse, misuse, water, flood, fire, or other acts of nature or external causes.
  • Damage caused by service performed by anyone who is not an authorised service provider of Undalogic.
  • Products with a serial number that has been removed, defaced, or altered.
  • Normal wear and tear, consumable parts, or cosmetic damage.
  • Loss of data or software.

This warranty is in addition to, and does not affect, your statutory rights under the Consumer Rights Act 2015.


SECTION 10 — INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, video, audio, software, and the design, selection, and arrangement thereof, are owned by Undalogic Ltd, its affiliates or licensors and are protected by UK and international intellectual property laws.

All intellectual property rights in and to the Products, including software, remain the exclusive property of Undalogic or its licensors. Undalogic grants Customer a non-exclusive, non-transferable licence to use any software provided with the Product solely in connection with the operation of the Product.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent.

Undalogic's names, logos, product and service names, designs, and slogans are trademarks of Undalogic or its affiliates or licensors. You must not use such trademarks without the prior written permission of Undalogic. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.


SECTION 11 — WEBSITE USE AND COOKIES

By using our Website, you acknowledge and agree to our use of cookies and tracking technologies as described in our Privacy Policy.

You have the right to accept or decline optional cookies through our cookie banner. Necessary cookies are essential for website functionality and cannot be disabled. Your cookie preferences are stored locally and can be changed at any time via our Cookie Preferences page. We comply with applicable data protection laws including UK GDPR for cookie consent.

We use Google Analytics and other tracking technologies to improve our Services. Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.

The Services may contain materials and hyperlinks to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third-party sites, you do so at your own risk.

We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites.


SECTION 14 — RELATIONSHIP WITH SHOPIFY

Undalogic is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Undalogic. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Undalogic, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Undalogic.


SECTION 15 — DATA PROCESSING AND PRIVACY

All personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

We process your personal data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. You have rights regarding your personal data, including access, rectification, and erasure. We may share certain data with third-party service providers necessary for our operations. If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use.

You represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these Terms. Occasionally there may be information on or in the Services that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).

You may access and use the Services for lawful purposes only. Customer shall comply with all applicable export laws and regulations in the use and distribution of the Products.

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Data Processing and Privacy, and any other provisions that by their nature should survive termination.

The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS (INCLUDING THE LIMITED WARRANTY IN SECTION 9), THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER MATTER WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING YOUR STATUTORY RIGHTS UNDER THE CONSUMER RIGHTS ACT 2015.


SECTION 22 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL UNDALOGIC, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES.

UNDALOGIC'S TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE PRODUCT GIVING RISE TO SUCH CLAIM.

NOTHING IN THIS SECTION SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; (C) DEFECTIVE PRODUCTS UNDER THE CONSUMER PROTECTION ACT 1987; OR (D) ANY OTHER MATTER WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


SECTION 23 — INDEMNIFICATION

You agree to indemnify, defend and hold harmless Undalogic, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld).

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service.
